Introduction and Acceptance
ShillFM ("we," "us," or "our") is a platform that provides tools for users to create, buy, and trade digital fan tokens. By accessing or using our platform, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access or use our platform.
Eligibility and Restrictions
THE SERVICES ARE NOT OFFERED TO PERSONS OR ENTITIES WHO RESIDE IN, ARE CITIZENS OF, ARE LOCATED IN, ARE INCORPORATED IN, OR HAVE A REGISTERED OFFICE IN ANY RESTRICTED JURISDICTION. RESTRICTED JURISDICTIONS INCLUDE, BUT ARE NOT LIMITED TO, THE UNITED STATES, CANADA, CHINA, JAPAN, CUBA, IRAN, NORTH KOREA, SYRIA, CRIMEA REGION, AND ANY OTHER COUNTRY OR REGION WHERE PARTICIPATION IN DIGITAL ASSET TRADING MAY BE PROHIBITED OR RESTRICTED BY APPLICABLE LAWS. IF YOU ARE LOCATED IN A RESTRICTED JURISDICTION, DO NOT USE OR ATTEMPT TO USE THE SERVICES.
You represent and warrant that:
You are over 18 years old or of legal age to form a binding contract in your jurisdiction.
Your funds are not derived from any illegal or restricted sources.
You have the right to engage in all transactions on ShillFM.
You are not a restricted person or connected to one in any way.
Services Description
ShillFM is a technology provider that offers tools for users to create, buy, and trade digital fan tokens on the Solana blockchain protocol. We provide a permissionless, no-code tool to create and manage these tokens, as well as a mechanism to exchange them with other users. We do not create, endorse, or manage any tokens ourselves. All tokens generated using our Services are classified as User Contributions and must adhere to our Content Standards.
User Access
Access to ShillFM is exclusively through blockchain wallets. We do not maintain user accounts or passwords. You are solely responsible for maintaining the security of your wallet and private keys.
Intellectual Property Rights
The ShillFM platform and its original content (excluding User Contributions) are and will remain the exclusive property of ShillFM. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
User Contributions and Content Standards
By providing User Contributions on ShillFM, you grant us the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material. You represent and warrant that you own or control all rights in your User Contributions and have the right to grant the above license.
All User Contributions must comply with our Content Standards, which prohibit content that is:
Unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
Infringing on intellectual property rights
Fraudulent, false, or misleading
Promoting illegal activities or substance abuse
Violating any applicable laws or regulations
All tokens on this Platform are user-generated content. We do not control, verify, or endorse any tokens or associated information created by users.
Token Characteristics
The tokens created and traded on this Platform are user-generated digital assets with no inherent utility, value, or rights. They are not endorsed by, affiliated with, or connected to any individuals they may reference. These user-created tokens are not officially sanctioned or endorsed by any individual, organization, or entity they may reference. Any perceived connection is purely coincidental and not indicative of a real-world relationship.
Prohibited Uses
You agree not to:
Use the platform in any way that violates any applicable laws or regulations.
Impersonate or attempt to impersonate ShillFM, a ShillFM employee, or another user.
Engage in any market manipulation activities (such as pump and dump schemes, wash trading, etc.).
Use the platform for money laundering, terrorist financing, or other illicit financial activities.
Attempt to access, tamper with, or use non-public areas of the platform.
No Financial or Investment Advice
ShillFM does not provide any financial, investment, legal, or tax advice. All decisions you make on the platform are made solely by you. We accept no responsibility for your decisions or use of our Services.
Risks
You acknowledge that digital assets are volatile and risky. ShillFM is not responsible for any losses you may incur as a result of your transactions. You use our Services at your own risk. The value of user-created tokens is purely speculative and may be highly volatile. Users may lose their entire investment. Do not invest more than you can afford to lose.
Disclaimer of Warranties
SHILLFM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. We make no guarantees about the future value, tradability, or liquidity of any user-created tokens on this Platform.
Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, SHILLFM, ITS OPERATORS, DEVELOPERS, AND ANY ENTITY INVOLVED IN CREATING SHILLFM WILL NOT BE LIABLE FOR ANY CLAIMS OR DAMAGES WHATSOEVER ASSOCIATED WITH YOUR USE, INABILITY TO USE, OR YOUR INTERACTION WITH OTHER USERS OF SHILLFM. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, CRYPTOCURRENCIES, TOKENS, OR ANYTHING ELSE OF VALUE.
As a technology provider, we are not responsible for any actions, content, or consequences resulting from user-generated tokens or user activities on the Platform. This limitation of liability applies regardless of the cause of action, whether in contract, tort (including negligence), breach of warranty, or any other legal theory, even if we have been advised of the possibility of such damages.
By using ShillFM, you expressly agree to this limitation of liability and acknowledge the risks associated with using a decentralized platform for digital asset creation and trading.
Liability for User-Created Tokens
SHILLFM, ITS OPERATORS, DEVELOPERS, AND ANY ENTITY INVOLVED IN CREATING SHILLFM WILL NOT BE LIABLE FOR ANY LEGAL ACTION, CLAIMS, OR DAMAGES ARISING FROM TOKENS CREATED BY USERS IN THE LIKENESS OR REFERENCING ANY INDIVIDUALS, PERSONALITIES, CELEBRITIES, OR OTHER ENTITIES. Users are solely responsible for ensuring that any tokens they create do not infringe upon the rights of any third parties, including but not limited to rights of publicity, privacy, copyright, or trademark. By using ShillFM, you agree to indemnify and hold harmless ShillFM, its operators, and developers from any claims, legal actions, or damages resulting from tokens you create or interact with on the platform.
Indemnification
You agree to defend, indemnify, and hold harmless ShillFM, its operators, developers, and any entity involved in creating ShillFM from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the platform, including, without limitation, any use of the platform's content, services, and products other than as expressly authorized in these Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law provisions.
Changes to Terms and Services
We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of ShillFM after such modifications will constitute your acknowledgment and agreement to the modified Terms. As a technology provider, we reserve the right to remove or restrict any tokens or user activities that we believe may pose legal or ethical risks, without prior notice.
User Responsibilities
Users are solely responsible for ensuring their activities on this Platform, including token creation and trading, comply with all applicable laws and regulations in their jurisdiction.
Data and Metrics
Any social media metrics or other data displayed alongside tokens are for informational purposes only and do not imply any relationship between the data subject and the token or its creator.
